Our Story

LOOME was founded in 2018 on the premise that high quality corporate legal services can be delivered to clients at a reasonable cost.  LOOME’s founders observed that the ever increasing cost for corporate legal services meant that start-ups and smaller, growing companies often forego seeking legal help that can add value because they are reluctant to start the meter running with their expensive corporate lawyers.  LOOME has been constructed to provide (better than) big firm service at a fraction of big firm rates.  We are able to deliver on this guiding principle for two primary reasons:

• Minimal Overhead – As a virtual law firm, we leverage technology to operate very lean.  LOOME simply doesn’t have most of the costs that are passed on to clients by big firms.  At LOOME, you are not paying for opulent offices, stocked break rooms, people to open lawyer mail, large marketing budgets, etc.
• No Junior Associates – At LOOME, you are not paying to train junior lawyers.  In the valley these days, first year associates at most big firms bill out at rates greater than $500 an hour.  That is an exorbitant rate for a lawyer that, let’s face it, really doesn’t know much at that stage of their career.  Junior lawyers are staffed on clients in the name of efficiency, but in reality clients are just paying for lawyer training.  At LOOME, you will deal with experienced lawyers (mostly all with big firm training) who generally always bill at rates less than that first year big firm lawyer.

Our Leadership

Marc Ernaga is LOOME’s founder and managing member.  A Silicon Valley veteran, Marc has been helping advise and build companies for over 20 years.  Marc’s practice focuses on the representation of technology and growth companies at all stages of their development, from seed-stage start-ups to mature public companies. His experience includes structuring, managing, and negotiating mergers and acquisitions transactions, private placement equity and debt transactions, strategic alliances, spin-outs, recapitalizations and other corporate reorganizations.

Marc regularly advises public and private companies and their management on a broad range of corporate matters, including corporate governance responsibilities, equity incentive plans and arrangements, employment matters, intellectual property issues, regulatory compliance and commercial transactions. In addition, he frequently counsels entrepreneurs on company formation, equity structures and negotiations with seed and venture capital investors. He also advises venture capital firms and other institutions investing in technology companies.

Before founding LOOME, Marc spent over 10 years in the Silicon Valley office of Wilson Sonsini Goodrich & Rosati.  Prior to that, he started his career working for over five years in the California offices of two international AM Law 100 firms.  Marc holds a Juris Doctorate degree from UC Berkeley School of Law and a Bachelor of Science degree in Economics (finance concentration) from the Wharton School of the University of Pennsylvania.
